Corporate Naming Due Diligence

I came across an odd situation a few days ago. Public company Invicta Group, Inc. announced that they were being improperly delisted by the Boston Stock Exchange. It seems that the Exchange started the delisting process but put in the wrong name and Edgar codes. It was supposed to be Invicta Corp, another public company!

Call me crazy but shouldn’t Invicta Group, Inc. have done what would have been a very small due diligence effort to check on the use of the name, at least by other public companies if not many private companies? Invicta Group does not even use its name in its branding. It goes to market through the brands ‘Travel Hot Link’ and ‘Cruise Excitement.’

Besides these two public companies, there are several private Invictas:

  • Invicta LLC Falls Church, VA, Construction management services
  • Invicta Networks Inc Herndon, VA, Custom software development services
  • Invicta Technologies Inc.  Mississauga, ON, Automation systems; cylinders: pneumatic; handles: machine; pneumatic components & systems
  • Invicta Watch Group, founded in 1837
  • And, automobile fans will remember the old Invicta Company from the 1920s and 30s.

Invicta is Latin for invincible, so it is going to be attractive to name companies and products with invicta in the name.

Invicta Corp. seems to be having trouble surviving. Should Invicta Group let Invicta Corp. hurt them in the public marketplace?

Many times, your corporate name will not be so unique. However, if you are a public company, my counsel would be: do a little due diligence  to make sure your corporate name is not only unique, but also contributes to your branding.
